These Terms of Service (“Terms”) govern your access to and use of our marketing optimization and analytics platform and services (the “Services”). By using our Services, you agree to be bound by these Terms.

1. Services Overview

We provide access to our proprietary platform for marketing attribution, performance tracking, and optimization. These Services may include:

• Web-based dashboard access
• Data integration and analytics tools
• Support services (training, configuration, onboarding)
• Professional services as agreed via separate Statement of Work (SOW)

2. Access and Use

We grant you a non-exclusive, non-transferable license to access and use our platform solely for your internal business purposes and during the active subscription period.

User Access:

• You must designate authorized users.
• You are responsible for all activity by those users.

3. Restrictions

You agree not to:

• Copy, modify, or distribute the platform or related materials
• Reverse-engineer or attempt to extract source code
• Use the Services in violation of any laws or third-party rights
• Share access credentials with unauthorized individuals

4. Ownership and Feedback

All intellectual property rights in the platform and services remain ours. Any feedback you provide may be used by us without compensation.

5. Data Privacy and Use

We handle data in accordance with our Privacy Policy. We do not sell customer data and only access it as necessary to deliver our Services. You must ensure that any data you provide complies with applicable laws and regulations.

6. Service Suspension

We may suspend access if:

• There is a security or legal risk
• You breach these Terms
• Your payment is more than 15 days overdue

7. Termination

Either party may terminate the Services for cause. Upon termination, your access will cease and all fees owed become immediately due.

8. Disclaimers and Limitation of Liability

The Services are provided "as is" without warranties. We are not liable for indirect or consequential damages. Our total liability is limited to fees paid in the 12 months prior to the claim.

9. Governing Law

These Terms are governed by the laws of the Stat of New York. Any disputes shall be resolved in the courts of that jurisdiction.
